In response to our request for a review of the Bylaws by the Minister, they have responded with a requirement to make 2 changes.
These changes will be brought to members in the 1st Quarterly Meeting of Members on Wednesday, January 24th at 8:00 am.
We’ve received feedback from the Ministry with regard to two deficiencies on the bylaws approved in November. These include contradictory statements regarding ex-officio roles on the Board. We are going to remove the following red phrases from the bylaws… and add the green
29. Number of Directors
The Government of the Chamber shall be vested in a Board of Directors, which shall consist of a minimum of eleven (11) and a maximum of sixteen (16) members:
- one is to be the immediate Past-President as an ex officio member
51. Roles of Officers …
o Secretary. The Secretary shall be responsible for ensuring the CEO serves the Board through the duties assigned as outlined in the Act.
o Chief Executive Officer. The Chief Executive officer shall be the Chief Executive Officer of the Chamber and is appointed as an ex officio and a non-voting member of the Board. The CEO shall be responsible for implementing the strategic plans and policies of the Chambers. The CEO shall, subject to the authority of the Board of Directors, have general supervision of the affairs of the Chamber. The CEO shall also serve as Secretary to the Board and is assigned the duties of Secretary, as outlined in the Act…
